Promotion Terms & Conditions

1. PROMOTION DESCRIPTION: The Lexus Sprinkles Cupcake
Giveaway (the “Promotion”) is a
first-come first-served giveaway promotion taking place at participating
Sprinkles bakery locations as described in Section 3 below.
The
Promotion is currently scheduled to take place on each of the following dates
from 10:00 am – 11:00 am local time, or when the available Cupcakes have been
claimed (each a “Promotion Period”):
The
sponsor of this promotion is Lexus, a
division of Toyota Motor Sales, U.S.A., Inc., 6565
Headquarters Drive, Plano, TX 75024 ("Sponsor"). The “Fulfillment Administrator”
is Sprinkles Cupcakes LLC, 7710 Rialto
Blvd., Suite 150 , Austin, TX 78735.
2. ELIGIBILITY: The Promotion is open only to individuals who visit at
least one (1) of the participating Sprinkles locations during at least one (1)
of the Promotion Periods while supplies last, and who opt to participate. Participants
who are less than eighteen (18) years of age must have a parent/legal
guardian’s permission to participate. Promotion
is void where prohibited.
3.
HOW TO PARTICIPATE: Participants will be invited to receive one
(1) free red velvet Lexus-branded cupcake (each a “Cupcake”) by visiting
one (1) of the twenty (20) participating Sprinkles bakery locations during one (1)
of the Promotion Periods (each a “Participating Location”):

4. CUPCAKE DETAILS: Cupcakes will be offered as
follows at each Participating Location:

Approximate Retail Value (“ARV”) of each
Cupcake: $5.25.
Limit one (1) Cupcake per person, first-come
first-served while supplies last. Sponsor
reserves the right to substitute any Cupcake with a Cupcake of equal or greater
value should the offered Cupcake become unavailable for any reason other than
being claimed by a Participant. Unclaimed Cupcakes, if any, will go un-awarded.
Cupcake cannot be redeemed for cash. Sponsor makes no warranties, and hereby
disclaims any and all warranties, express or implied,
concerning any Cupcake in connection with the Promotion.
Food
Allergy Notice: By participating in the Promotion, each Participant
acknowledges and agrees that any Cupcakes(s) offered in the Promotion may
contain milk, eggs, wheat, soybean, peanuts, and tree nuts. Participants agree
that the Sponsor will have no liability whatsoever to, and will be released and
held harmless by, the Participants for any and all
food allergy-related complications that may result from exposure to Cupcakes offered
in this Promotion.
5. CONDITIONS OF
PARTICIPATION: Participants
(or the parent or legal guardian if a minor) shall indemnify, defend and hold
harmless the Sponsor, Sponsor’s local dealer groups and
authorized dealers/distributors, Fulfilment Administrator, Fulfillment Administrator’s franchisees, Creative Zing Promotion Group, and each of their respective parents, affiliates,
divisions, subsidiaries, successors, assigns and licensees, and each of their
respective employees, shareholders, officers, directors, contractors,
advertising and promotion agencies, agents and representatives (collectively,
the “Released Parties”) from and against any and all liability, claims,
loss, damage, injury or expense, including reasonable outside attorneys’ fees,
arising out of or in connection with any third-party action arising out of or
resulting from (i) participation in the Promotion and/or (ii) acceptance,
possession, use or misuse of a Cupcake, including without limitation, personal
injury, death and property damage arising therefrom.
By participating in this
Promotion, each Participant (or the parent or legal guardian if a minor) forever
discharges, releases, and holds harmless Sponsor and each of its parent
companies, subsidiaries, affiliates, and each of its directors, officers,
employees, and agents from any and all liability,
claims, losses, damages, causes of action, suits, and demands of any kind
arising from or in connection with the Promotion, however caused.
These Promotion Terms are subject to modification by Sponsor at any time. In the event of a dispute, all decisions made by Sponsor are final and binding. Sponsor reserves the right, in its sole discretion, to cancel, modify, reschedule, or suspend the Promotion (or any portion of the Promotion) if, for any reason, the Promotion is not capable of completion as planned, and/or should any cause or problem corrupt or inhibit the administration and fulfillment of the Promotion. Sponsor may prohibit an otherwise eligible Participant from participating in the Promotion or receiving a Cupcake if, in its sole discretion, it determines that such Participant is attempting to undermine the legitimate operation of the Promotion by cheating, deception, or any other unfair practices or intending to annoy, abuse, threaten or harass any other Participants or Sponsor's representatives.
6.
PRIVACY POLICY: As a condition of entering
the Promotion, participants agree and consent to Sponsor’s Privacy Policy,
published at https://www.toyota.com/support/privacy-rights/. If any participant objects to anything stated in these Promotion
Terms & Conditions or Sponsor’s Privacy Policy, they should not participate
in the Promotion. If any participant is a California U.S. resident and wishes
to review what choices and rights are afforded under the California Consumer
Privacy Act (CCPA) or other applicable California privacy laws, they should
review that section of U.S. Sponsor’s Privacy Policy using the link provided
above.
7. DISPUTES: Any and all disputes, claims and causes of action
arising out of, or connected with, this Promotion, including without
limitation, any alleged violation of these Terms & Conditions, any
controversy relating to the arbitrability of any dispute, or any claim that the
Promotion, or any part thereof, is invalid, illegal or otherwise voidable (or
void), shall be resolved exclusively by arbitration to be held solely in Plano,
Texas under the auspices of the American Arbitration Association and pursuant
to its Commercial Dispute Resolution Rules and Procedures. Judgment upon the
arbitration award may be entered in any court having jurisdiction thereof.
This arbitration provision shall be deemed to be self-executing, and in the event that either party fails to appear at any
properly noticed arbitration proceeding, an award may be entered against such
party notwithstanding said failure to appear. In no event shall a Participant
seek or be entitled to rescission, injunctive or other equitable relief, or to
enjoin or restrain the operation of this Promotion.
All issues and questions concerning the construction, validity, interpretation
and enforceability of this Promotion, or the rights and obligations of Participants
and Promotion Entities, shall be governed by, and construed
in accordance with the laws of the State of Texas without giving effect to any
choice of law or conflict of law rules (whether or not in the State of Texas or
any other jurisdiction) which would cause the application of the laws of any
jurisdiction other than the State of Texas..
